Please read these Terms and Conditions carefully before using this website or engaging JQC Labs for services.
The words whose initial letters are capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
These Terms and Conditions apply only to the Service and Services offered through web.jqclabs.com (the web design division of JQC Labs). Other JQC Labs websites, platforms, tools, or properties (including any
“platforms” or product-related sites) may be governed by different terms and policies.
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms and Conditions. These Terms apply to all visitors and users of the Service.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Service.
You represent that you are at least 18 years old. The Company does not knowingly permit individuals under 18 to use the Service.
The Website may include general information regarding web design, web development, or online business practices. Any such information is provided for general informational purposes only.
JQC Labs does not guarantee outcomes or results from the use of the Service or Services, including but not limited to SEO rankings, search visibility, traffic, conversions, revenue, lead volume, or business performance.
Any descriptions of Services, timelines, pricing, or deliverables on the Website are general in nature and may be updated at any time. A project is not considered accepted until JQC Labs confirms acceptance in writing (including by email).
Any statements regarding timing, availability, scope, or completion dates are estimates only, unless explicitly agreed in writing.
JQC Labs reserves the right to decline any inquiry or project request for any reason, including capacity constraints.
You agree to provide timely cooperation and information necessary to perform the Services, including content, approvals, access credentials, and feedback when requested.
Delays caused by Client in providing required information, approvals, or feedback may extend the project timeline and may impact the final delivery date. JQC Labs is not responsible for delays caused by Client.
You represent and warrant that any content, materials, trademarks, logos, images, videos, text, or other assets you provide to JQC Labs (collectively, “Client Content”) are owned by you or you have the legal right and permission to use them for the intended purposes.
You agree to indemnify and hold harmless JQC Labs from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Client Content, including claims of infringement, misappropriation, or violation of third-party rights.
Unless otherwise agreed in writing, projects may include a revision window following the initial delivery of the Deliverables. The revision window is generally between two (2) weeks and one (1) month, depending on the package selection and scope of work.
Revisions outside the revision window, revisions that materially change the original scope, or additional work requested after project completion may require additional fees and a separate agreement.
Deliverables may be deemed accepted if the Client confirms acceptance in writing, the site is launched at the Client’s request, or the Client fails to provide requested feedback within a reasonable time after delivery.
Unless otherwise agreed in writing, payment terms are as follows:
Accepted payment methods may include, but are not limited to, PayPal, check, and other methods approved by JQC Labs in its discretion.
JQC Labs may pause work, withhold Deliverables, delay launch, or suspend further performance if invoices are unpaid or if payment is not received when due.
If the Client cancels a project before work has started, JQC Labs may, in its discretion, provide a full refund of amounts paid. Once work has started, full refunds are not available.
After work has started, any refund (including partial refunds) is at the sole discretion of JQC Labs and may account for time spent, work completed, expenses incurred, and commitments made (including Third-Party Provider fees).
JQC Labs reserves the right to cancel a project and terminate services at any time, with or without cause, including for capacity, non-payment, lack of cooperation, abusive conduct, suspected fraud, or any reason consistent with applicable law.
If JQC Labs cancels a project, JQC Labs may, in its discretion, issue a refund amount determined by JQC Labs, which may be a full or partial refund depending on work performed and expenses incurred.
We may terminate or suspend access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately.
Subject to full and final payment of all amounts due, the Client will own the final Deliverables specifically created for the Client as part of the project.
Notwithstanding the foregoing, JQC Labs retains all rights to its pre-existing materials, tools, processes, frameworks, know-how, templates, reusable components, and general methodologies used to create or deliver the Services. JQC Labs may reuse and adapt such materials for other clients and projects, provided that it does not disclose the Client’s confidential information.
Unless the Client opts out in writing, the Client grants JQC Labs a non-exclusive right to display the completed work (including screenshots and a link) for portfolio, marketing, and demonstration purposes. If the Client opts out, JQC Labs will honor the request for future use within a reasonable time.
Unless otherwise agreed in writing, hosting, domain registration, and third-party service accounts are the Client’s responsibility. JQC Labs may recommend or assist with selecting Third-Party Providers for hosting, domains, payments, analytics, ordering, booking, or related services. All Third-Party Providers are subject to their own terms, policies, and pricing.
JQC Labs is not responsible for Third-Party Providers, including their availability, security, outages, suspensions, performance, changes in features, pricing changes, policy enforcement, data loss, or service interruptions.
Third-Party Provider fees, subscriptions, and usage charges may be required for certain functionality and are generally paid by the Client unless otherwise agreed in writing.
JQC Labs will use reasonable efforts to maintain the confidentiality of non-public information provided by the Client in connection with a project. The Client similarly agrees to keep confidential any non-public information of JQC Labs disclosed in connection with the Services.
This section does not apply to information that is publicly available through no fault of the receiving party, independently developed without use of confidential information, or required to be disclosed by law.
You consent to receive communications from JQC Labs electronically, including via email. You agree that agreements, notices, disclosures, approvals, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
Our Service may contain links to third-party websites or services that are not owned or controlled by JQC Labs. JQC Labs assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services.
You acknowledge and agree that JQC Labs shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such websites or services.
JQC Labs shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, power or internet outages, labor disputes, government actions, war, terrorism, epidemics, supply chain disruptions, or failures of Third-Party Providers.
To the maximum extent permitted by applicable law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis. JQC Labs disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the foregoing, JQC Labs does not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that defects will be corrected. JQC Labs does not warrant that any information provided through the Service is accurate, complete, reliable, or current.
To the maximum extent permitted by applicable law, in no event shall JQC Labs be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation damages for loss of profits, loss of data, business interruption, loss of goodwill, or personal injury, arising out of or related to your use of, inability to use, or reliance on the Service or Services, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the total liability of JQC Labs for any claims arising out of or related to the Service or Services shall not exceed the total amount paid by the Client to JQC Labs for the specific project giving rise to the claim, and in all cases shall be capped at one thousand U.S. dollars (US $1,000).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, liability will be limited to the greatest extent permitted by law.
You agree to defend, indemnify, and hold harmless JQC Labs and its owners, contractors, and representatives from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to: (a) your violation of these Terms; (b) your misuse of the Service; (c) Client Content; or (d) your violation of any law or the rights of a third party.
The laws of the State of Connecticut, United States, excluding its conflict of law rules, shall govern these Terms and your use of the Service.
If you have any concern or dispute about the Service or Services, you agree to first try to resolve the dispute informally by contacting JQC Labs.
To the maximum extent permitted by applicable law, you agree that any action or proceeding arising out of or related to these Terms, the Service, or the Services shall be brought exclusively in the state or federal courts located in the State of Connecticut, and you consent to the personal jurisdiction of such courts.
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party’s ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide notice prior to the new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the Service.
